Aplin is partnering with a leading lawyer in real estate development and private lending to hire an experienced Legal Assistant / Paralegal with deep expertise in corporate lending and finance transactions. This role is heavily focused (approximately 50%) on private lending and corporate finance files, where the client acts as the lender. The successful candidate will have experience preparing and managing loan documentation, securities, and closing deliverables in sophisticated financing transactions. The remaining portion of the role involves large-scale real estate development files, including projects on First Nations land. While First Nations experience is considered a strong asset, it is not required. The priority is strong lending and corporate finance expertise. Key Responsibilities Corporate Lending & Finance (Primary Focus):
Draft, revise, and manage loan agreements and related finance documents
Prepare and register security documentation (GSA, PPSA, mortgages, guarantees, etc.)
Coordinate conditions precedent and post-closing deliverables
Prepare and manage closing agendas and transaction checklists
Liaise with borrowers, financial institutions, and external counsel
Conduct corporate searches and due diligence
Manage complex multi-party financing transactions
Real Estate Development Files:
Support large development transactions from initial financing through closing
Assist with transactions involving projects on First Nations land (where applicable)
Coordinate documentation, signatures, and funding processes
Maintain organized digital and physical file systems
Administrative & File Management:
Manage high-value, high-complexity files with minimal supervision
Track key dates, undertakings, and funding timelines
Provide overall transaction coordination support
Qualifications
5+ years of experience in corporate lending / banking law
Strong experience acting for the lender
Extensive knowledge of loan agreements and corporate finance documentation
Ability to work independently and manage multiple deadlines
Experience working on transactions involving First Nations land (an asset)
Exposure to development financing
